These Terms & Conditions (“Terms”) govern your access to and use of CatalogPoint (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you have the legal capacity and authority to enter into these Terms.

2. Accounts

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

3. Subscriptions & Billing

Certain features are offered on a paid subscription basis. Prices, plan features, and billing cycles are shown at checkout. Subscriptions automatically renew unless canceled before the renewal date. Taxes may apply. You can cancel at any time in your account settings; cancellations take effect at the end of the current term.

4. Acceptable Use

When using the Service, you agree not to:

  • Violate any applicable law or regulation;
  • Infringe or misappropriate any intellectual property or other rights;
  • Upload, post, or transmit malware, spam, or harmful content;
  • Attempt to access another user’s account or data without permission;
  • Interfere with the security or operation of the Service.

5. User Content

You retain ownership of content you upload (“User Content”). By submitting User Content, you grant CatalogPoint a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute such content solely to operate and improve the Service. You are responsible for the legality and accuracy of your User Content.

6. Templates, Builders & Assets

Any templates, demo data, or design assets provided by CatalogPoint are licensed for use within the Service. Unless expressly permitted, you may not resell, redistribute, or exploit these assets outside of the Service. Certain third-party assets may be subject to their own licenses.

7. Intellectual Property

The Service, including all software, features, and branding, is owned by CatalogPoint or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights are transferred to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and share information. By using the Service, you consent to those practices.

9. Third-Party Services

The Service may link to or integrate with third-party services. CatalogPoint is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

10. Warranties & Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CatalogPoint DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CatalogPoint AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless CatalogPoint from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or violation of these Terms.

13. Suspension & Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or if required by law. Upon termination, your right to use the Service stops immediately, but sections that by their nature should survive will survive (e.g., IP, disclaimers, limitations, indemnity).

14. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If changes are material, we will provide notice (e.g., by email or in-app). Your continued use after the effective date of changes constitutes acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of your operating jurisdiction (without regard to conflict-of-laws rules). Any disputes will be resolved exclusively in the courts located there, unless applicable law provides otherwise.
